1. Introduction and Acceptance of Terms
Welcome to Tafawwaq Inc., a U.S.-incorporated company organized under the laws of the State of Delaware (“Tafawwaq,” “we,” “us,” or “our”). Tafawwaq operates an online tutoring marketplace that connects students with private tutors for personalized one-on-one learning experiences through www.tafawwaq.com and related mobile applications (the “Platform”).
These Terms and Conditions ("Terms") govern your access to and use of the Tafawwaq website, including any content, functionality, and services offered on or through www.tafawwaq.com (the "Website"), whether as a guest or a registered user. By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines referenced herein. If you do not agree to these Terms, you must not access or use the Website.
This document constitutes a legally binding agreement between you and Tafawwaq. We reserve the right to modify these Terms at any time, effective upon posting of an updated version on the Website. Your continued use of the Website after any such changes constitutes your acceptance of the new Terms. It is your responsibility to regularly review these Terms to stay informed of updates. We will endeavor to provide notice of significant changes, but it remains your obligation to review them periodically.
By agreeing to these Terms, you represent and warrant that you are at least eighteen (18) years of age and are legally capable of entering into a binding contract. If you are accessing or using the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" herein refer to that entity.
Our mission is to foster a secure, interactive, and effective learning environment. These Terms are designed to protect both our users and the integrity of the Platform, ensuring a fair and transparent experience for all participants. These Terms constitute an electronic contract within the meaning of Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services (the “UAE E-Commerce Law”), and are legally valid and enforceable as if executed in writing.We encourage you to read these Terms carefully, as they contain important information regarding your legal rights, remedies, and obligations.
2. Definitions
For the purpose of these Terms and Conditions, the following definitions shall apply:
- Account: Refers to the user account created by any Student or Tutor on the Platform to access and utilize the Services.
- Content: Refers to all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials, whether publicly posted or privately transmitted, uploaded, or made available on the Platform by users or Tafawwaq.
- Curriculum: Refers to the specific educational programs or subjects supported by the Platform, including but not limited to IGCSE, IB, SAT, and various languages.
- Intellectual Property Rights: Refers to all forms of intellectual property rights, including patents, copyrights, trademarks, service marks, trade secrets, moral rights, and other proprietary rights recognized in any jurisdiction.
- Live Tutoring Session or Session: Refers to a personalized one-on-one tutoring interaction conducted in real-time through the Platform's integrated online environment, including video conferencing and virtual whiteboards.
- Platform: Refers collectively to the Tafawwaq’s website (www.tafawwaq.com), its subdomains, and any associated applications, services, and tools provided by Tafawwaq.
- Privacy Policy: Refers to the Tafawwaq’s Privacy Policy, which describes how we collect, use, and disclose your personal information, and which is incorporated by reference into these Terms.
- Services: Refers to all functionalities, features, and offerings provided by Tafawwaq through the Platform, including but not limited to tutor matching, session booking, payment processing, communication tools, and session recording.
- Student: Refers to any individual who registers an Account on the Platform with the intent to receive tutoring services from a Tutor.
- Tutor: Refers to any individual who registers an Account on the Platform with the intent to provide tutoring services to Students.
- User or You: Refers to any individual or entity accessing or using the Platform, including Students, Tutors, and visitors.
- Website: Refers specifically to www.tafawwaq.com and its associated web pages.
3. Eligibility and User Accounts
3.1 Eligibility
To access and use the Services offered by Tafawwaq, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract in your jurisdiction. By creating an Account and using the Platform, you represent and warrant that you meet these eligibility requirements. If you are under the age of 18, you may only use the Platform with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms.
3.2 Account Registration
To utilize the full range of Services, you must register for an Account. During the registration process, you will be required to provide certain information, including but not limited to your name, email address, and a password. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Tafawwaq reserves the right to suspend or terminate your Account if any information provided during registration or thereafter proves to be inaccurate, not current, or incomplete.
3.3 Account Types
The Platform supports two primary types of user accounts:
- Student Account: For individuals seeking tutoring services.
- Tutor Account: For individuals offering tutoring services. Tutors may be subject to additional verification processes, background checks, and qualification assessments as determined by Tafawwaq in its sole discretion. Completion of these processes does not guarantee approval as a Tutor on the Platform.
3.4 Account Security
You are solely responsible for maintaining the confidentiality of your Account login credentials (username and password) and for all activities that occur under your Account. You agree to notify Tafawwaq immediately of any unauthorized use of your Account or any other breach of security. Tafawwaq will not be liable for any loss or damage arising from your failure to comply with this security obligation. You must not share your Account with any other person.
3.5 Account Verification
Tafawwaq may, at its discretion, implement various verification procedures, including but not limited to email verification, phone number verification, identity verification, and background checks for Tutors. You agree to cooperate with any such verification requests and understand that your access to certain features or the Platform itself may be restricted until verification is successfully completed. Tafawwaq makes no representations or warranties regarding the accuracy or reliability of such verification processes or the verified status of any User.
4. Services Offered (Tutoring Marketplace)
Tafawwaq operates as an online marketplace designed to facilitate connections between Students seeking academic assistance and Tutors offering specialized instruction across various Curriculums. Our Services are primarily focused on providing the technological infrastructure for these connections, rather than directly providing tutoring services.
4.1 Marketplace Functionality
The Platform enables Users to:
- Browse Tutor Profiles: Students can search for Tutors based on criteria such as subject, curriculum (e.g., IGCSE, IB, SAT, languages), availability, ratings, reviews, and hourly rates.
- Create Tutor Profiles: Tutors can create detailed profiles showcasing their qualifications, experience, teaching methodology, availability, and pricing.
- Book Live Tutoring Sessions: Students can book one-on-one Sessions with their chosen Tutors through a flexible scheduling system integrated into the Platform.
- Conduct Live Tutoring Sessions: Sessions are conducted within a fully integrated online environment featuring video conferencing capabilities and interactive virtual whiteboards to facilitate real-time learning.
- Manage Schedules: Both Students and Tutors can manage their respective availabilities and appointments directly on the Platform.
- Process Payments: The Platform integrates secure payment gateways to facilitate payments from Students to Tutors for completed Sessions.
- Access Session Recordings: All Sessions may be recorded and made available for review by the Student for revision purposes.
- Receive Notifications: Users receive updates and reminders regarding bookings, payments, and other important activities via the Platform, email and, where applicable, WhatsApp messaging.
4.2 Nature of Services
Tafawwaq operates solely as an intermediary platform connecting Students and Tutors. Tutors are independent contractors, not employees of Tafawwaq. We do not control their schedules, teaching methods, or instructional content, other than to ensure compliance with applicable laws and Platform policies. Tafawwaq does not employ Tutors and bears no responsibility for the quality, legality, or suitability of the tutoring services they provide. Students are solely responsible for choosing an appropriate Tutor, and all tutoring agreements exist directly between the Student and the Tutor. Nothing in these Terms shall be construed as creating an employer-employee relationship, joint venture, or agency between Tafawwaq and any Tutor registered with the Platform.
4.3 No Endorsement
Tafawwaq does not endorse any specific Tutor or Student. While we may provide tools for Users to evaluate each other (such as ratings and reviews), we do not guarantee the accuracy, completeness, or reliability of any User-generated content or information. Users are encouraged to exercise their own judgment and due diligence when interacting with other Users on the Platform.
4.4 Service Availability
Tafawwaq will use commercially reasonable efforts to ensure the continuous availability of the Platform and its Services. However, we do not guarantee uninterrupted or error-free operation. The Platform may be unavailable from time to time due to maintenance, upgrades, network issues, or other unforeseen circumstances. Tafawwaq will not be liable for any losses or damages incurred by Users due to such unavailability.
5. User Responsibilities (Students and Tutors)
All Users of the Tafawwaq Platform, whether Students or Tutors, are expected to adhere to a high standard of conduct and fulfill specific responsibilities to ensure a safe, respectful, and effective learning environment. Your use of the Platform is contingent upon your compliance with these responsibilities.
5.1 General User Responsibilities
- Compliance with Laws: You agree to comply with all applicable local, national, and international laws, statutes, ordinances, and regulations regarding your use of the Platform and any services obtained or provided through it.
- Accurate Information: You are responsible for providing accurate, truthful, and complete information during registration and throughout your use of the Platform. Misrepresentation of identity, qualifications, or any other material information is strictly prohibited.
- Respectful Conduct: You agree to interact with other Users (Students, Tutors, and Tafawwaq staff) in a respectful, professional, and courteous manner. Harassment, abuse, discrimination, hate speech, or any form of inappropriate behavior is strictly forbidden.
- Prohibited Activities: You agree not to engage in any activities that:
- Violate any law or regulation.
- Infringe upon the rights of others, including intellectual property, privacy, or publicity rights.
- Are fraudulent, deceptive, or misleading.
- Interfere with or disrupt the Platform or servers or networks connected to the Platform.
- Attempt to gain unauthorized access to any portion or feature of the Platform, or any other systems or networks connected to the Platform.
- Use the Platform for any commercial purpose or for the benefit of any third party, except as expressly permitted by these Terms.
- Collect or harvest any personally identifiable information from the Platform without express consent.
- Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
5.2 Student Responsibilities
- Session Participation: Students are expected to attend scheduled Sessions on time and come prepared with necessary materials and questions. Repeated no-shows or cancellations may result in Account suspension.
- Payment Obligations: Students must provide valid payment information and agree to pay for all booked Sessions in accordance with the Tutor's rates and Tafawwaq's payment policies.
- Feedback and Ratings: Students are encouraged to provide honest and constructive feedback after each Session to help improve the Platform and assist other Students in making informed choices.
- Appropriate Use: Students must use the Platform solely for legitimate educational purposes. Any attempt to use the Platform for non-educational activities is prohibited.
5.3 Tutor Responsibilities
- Qualifications and Licensing: Tutors must possess and maintain all necessary qualifications, certifications, and licenses required to provide tutoring services in their respective subjects and jurisdictions. Tutors are solely responsible for ensuring compliance with local regulations, including any required permits for private tutoring.
- Professional Conduct: Tutors must conduct Sessions in a professional manner, providing high-quality instruction tailored to the Student's needs. Tutors are expected to be punctual, prepared, and responsive to Student inquiries.
- Content Accuracy: All instructional content provided by Tutors must be accurate, up-to-date, and appropriate for the Student's level and curriculum.
- Confidentiality: Tutors must respect the privacy and confidentiality of Student information and not disclose any personal or academic details without express permission.
- No Solicitation: Tutors are prohibited from soliciting Students for off-Platform services or payments, which may result in immediate Account termination.
5.4 Reporting Violations
Users are encouraged to report any violations of these Terms or suspicious activities to Tafawwaq support at support@tafawwaq.com. Tafawwaq will investigate reported violations and take appropriate action, which may include Account suspension or termination.
5.5 Consequences of Non-Compliance
Failure to comply with these responsibilities may result in warnings, temporary suspension, or permanent termination of your Account, at Tafawwaq's sole discretion. Tafawwaq reserves the right to remove any Content that violates these Terms without notice.
6. Fees and Payment
Tafawwaq facilitates payments between Students and Tutors through secure third-party payment processors. All financial transactions on the Platform are subject to the following terms:
6.1 Tutor Rates
Tutors set their own hourly rates for Sessions, subject to Tafawwaq's guidelines and minimum/maximum limits. Rates are displayed on Tutor profiles and are inclusive of all fees except for Tafawwaq's platform fee.
6.2 Platform Fee
Tafawwaq charges a platform fee for each completed Session, which is deducted from the Tutor's earnings. The current platform fee is 40% of the Session fee, but this may be subject to change with notice. Students are not charged additional fees beyond the Tutor's rate.
6.3 Payment Processing
Students must provide valid payment information (credit card, debit card, or other accepted methods) when booking Sessions. Payments are processed at the time of booking or upon Session completion, as specified. All payments are in UAE Dirhams (AED) or US Dollars (USD), depending on the User's location.
6.4 Payouts to Tutors
Tutors will receive payouts for completed Sessions minus the platform fee, typically within 7-10 business days after the Session. Tutors must provide accurate banking information for payouts. Tafawwaq is not responsible for any delays or errors in payouts due to incorrect information provided by Tutors.
6.5 Refunds and Cancellations
Refunds and cancellations are governed by Tafawwaq's Cancellation and Refund Policy, incorporated herein by reference. Generally, cancellations made more than 24 hours before a Session are eligible for full refunds, while late cancellations may incur fees.
6.6 Taxes
Users are solely responsible for reporting and paying any applicable taxes on income earned or fees paid through the Platform. Tafawwaq may withhold taxes as required by law.
6.7 Chargebacks
If a Student initiates a chargeback, Tafawwaq may deduct the disputed amount from the Tutor's future payouts pending resolution. Repeated chargebacks may result in Account suspension.
7. Content and Intellectual Property
All Content on the Platform, including User-generated Content, is protected by intellectual property laws. Users must respect these rights and comply with the following:
7.1 Ownership
Tafawwaq owns all rights to the Platform, its design, functionality, and non-User Content. Users retain ownership of their Content but grant Tafawwaq a license to use it as necessary for Platform operations.
7.2 User Content License
By uploading Content, you grant Tafawwaq a worldwide, non-exclusive, royalty-free license to host, reproduce, distribute, and display your Content on the Platform.
7.3 Prohibited Content
Users may not upload Content that is illegal, infringing, defamatory, obscene, or violates any third-party rights. Tafawwaq may remove such Content without notice.
7.4 DMCA Compliance
Tafawwaq complies with the Digital Millennium Copyright Act (DMCA). If you believe your copyright is infringed, please submit a takedown notice to support@tafawwaq.com.
8. Privacy and Data Protection
Tafawwaq is committed to protecting your privacy. Our Privacy Policy details how we collect, use, and share your personal information. By using the Platform, you consent to these practices.
8.1 Data Collection
We collect personal information, usage data, and Session recordings to provide and improve our Services.
8.2 Data Security
We implement reasonable security measures, but cannot guarantee absolute security. Users are responsible for safeguarding their own data.
8.3 Third-Party Sharing
We may share data with service providers, but only as necessary for Platform operations.
9. Prohibited Uses
In addition to other prohibitions, you may not use the Platform to:
- Engage in academic dishonesty or cheating.
- Promote illegal activities or violence.
- Spam or send unsolicited communications.
- Introduce viruses or malicious code.
10. Disclaimers and Limitation of Liability
10.1 Disclaimer of Warranties
THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TAFAWWAQ DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TAFAWWAQ DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICES OR CONTENT ON THE PLATFORM IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU ASSUME ALL RISK FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE USE OF THE PLATFORM, INCLUDING ANY DAMAGES RESULTING FROM COMPUTER VIRUSES.
TAFAWWAQ IS A MARKETPLACE AND DOES NOT DIRECTLY PROVIDE TUTORING SERVICES. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, SUITABILITY, OR RELIABILITY OF ANY TUTORING SERVICES PROVIDED BY TUTORS THROUGH THE PLATFORM. ANY AGREEMENT FOR TUTORING SERVICES IS SOLELY BETWEEN THE STUDENT AND THE TUTOR. TAFAWWAQ EXPRESSLY DISCLAIMS ALL LIABILITY FOR THE ACTS, OMISSIONS, AND CONDUCT OF ANY THIRD PARTIES, INCLUDING USERS, ADVERTISERS, AND/OR SPONSORS ON THE PLATFORM.
10.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TAFAWWAQ ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF TAFAWWAQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH:
- YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM OR ANY SERVICES;
- THE CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES;
- ANY CONTENT OBTAINED FROM THE PLATFORM;
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL TAFAWWAQ,’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO TAFAWWAQ FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, TAFAWWAQ’S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to defend, indemnify, and hold harmless Tafawwaq, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms or your use of the Platform, including, but not limited to, your Content, any use of the Platform's Services, and products other than as expressly authorized in these Terms.
- Your negligence or willful misconduct.
- Your violation of any rights of another party, including without limitation any Intellectual Property Rights or privacy rights.
- Your interactions with any other User, including any disputes that may arise between you and another User.
Tafawwaq reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Tafawwaq in asserting any available defenses.
12. Termination of Account
12.1 Termination by You
You may terminate your Account at any time by following the instructions on the Platform or by contacting Tafawwaq customer support by email at support@tafawwaq.com. Upon termination, your access to the Services will cease, and any outstanding obligations (e.g., payments due) must be settled.
12.2 Termination by Tafawwaq
Tafawwaq may, in its sole discretion, suspend or terminate your Account and/or your access to all or any part of the Platform and Services at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include, but are not limited to:
- Breach of these Terms or any other policies or guidelines referenced herein.
- Violation of any applicable law or regulation.
- Engagement in fraudulent, abusive, or illegal activities.
- Non-payment of fees.
- Requests by law enforcement or other government agencies.
- Discontinuation or material modification of the Services (or any part thereof).
- Unexpected technical or security issues or problems.
- Extended periods of inactivity.
12.3 Effect of Termination
Upon termination of your Account, your right to use the Platform and Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Tafawwaq will not be liable to you or any third party for any termination of your access to the Platform or Services.
13. Dispute Resolution and Governing Law
13.1 Governing Law
These Terms are drafted in English and shall prevail over any translations. All payment-related obligations, including Tutor tax filings, are governed by Delaware law, regardless of the Tutor’s residence
For Users residing in the United Arab Emirates, Terms under this Agreement are governed exclusively by UAE law, subject to UAE Consumer Protection Authority jurisdiction. For all other Users, including Tutors and international Students, these Terms shall be governed by the laws of the State of Delaware, USA, without regard to conflict of law principles, except where mandatory consumer protection laws apply.
13.2 Limitation of Legal Claims
By using the Platform, you agree that any claim, action, or proceeding of any kind—whether civil, commercial, or administrative—may only be brought against Tafawwaq as a corporate entity. You agree to waive any right to pursue claims against Tafawwaq’s founders, shareholders, directors, officers, employees, or affiliates in their personal capacity.
13.3 Informal Dispute Resolution
Before initiating arbitration, you agree to attempt to resolve any dispute informally by contacting support@tafawwaq.com. Tafawwaq will attempt in good faith to resolve such matter within thirty (30) days of receiving the grievance.
13.4 Binding Arbitration
If a dispute is not resolved informally, it shall be submitted exclusively to final and binding arbitration administered by the Dubai International Arbitration Centre (“DIAC”) in accordance with the DIAC Arbitration Rules in effect at the time the arbitration is initiated. The arbitration shall be conducted before a single, neutral arbitrator seated in Dubai, United Arab Emirates, unless otherwise agreed in writing. Tafawwaq may, at its sole discretion, agree to resolve disputes in the Student’s or Tutor’s jurisdiction if required by mandatory consumer protection laws.
- Waiver of Court Proceedings: You and Tafawwaq expressly waive all rights to litigate or seek relief in any court, including the right to trial by judge or jury. Arbitration shall be the sole and exclusive method of resolving disputes, except where such waiver is prohibited by applicable law.
- Individual Claims Only: All disputes must be brought on an individual basis. Class actions, joint claims, or consolidated proceedings are expressly prohibited.
- Fees and Costs: Arbitration fees shall be allocated in accordance with the DIAC Rules. Each party shall bear its own legal costs unless the arbitrator orders otherwise.
- Arbitrator’s Authority: The arbitrator shall have exclusive authority to determine issues of arbitrability, jurisdiction, and the enforceability of this agreement.
- Governing Law: This arbitration agreement, and any dispute submitted to arbitration hereunder, shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates.
- International Enforcement: Any arbitral award rendered pursuant to this clause shall be final and binding on the parties and enforceable in any jurisdiction that is a contracting state to the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards (1958).
13.5 Finality of Award
The arbitrator’s decision shall be final and binding on all parties, with no right of appeal. Judgment on the award may be entered in any court of competent jurisdiction.
13.6 Exclusivity of Arbitration
All disputes, including those relating to intellectual property, injunctive relief, or specialized claims, shall be resolved solely through arbitration as outlined above. No exceptions shall apply.
14. Changes to Terms
Tafawwaq reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 7 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the Website and the Services.
15. Miscellaneous Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by Tafawwaq on the Platform, constitute the entire agreement between you and Tafawwaq concerning the Services and supersede all prior agreements, proposals, and communications, whether written or oral, between you and Tafawwaq regarding the subject matter hereof.
15.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitral body of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
15.3 Waiver
No waiver by Tafawwaq of any term, right, or provision of these Terms shall be deemed a continuing waiver of such term or of any other term, and any failure by Tafawwaq to assert a right or enforce a provision shall not constitute a waiver of such right or provision. 15.4 Assignment
You may not assign, delegate, or transfer these Terms or any rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of Tafawwaq. Any unauthorized assignment shall be null and void. Tafawwaq may assign or transfer these Terms freely and without restriction.
15.5 Force Majeure
Tafawwaq shall not be held liable for any delay, interruption, or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, embargoes, pandemics, public health emergencies, government restrictions governmental actions, fire, flood, accidents, infrastructure failures, labor disputes, or shortages of materials, fuel, power, or transportation.

Section titles and headings used in these Terms are provided for convenience only and shall have no legal or contractual effect.
