1. Introduction and Acceptance of Terms
Welcome to Tafawwaq, an online marketplace connecting students with private tutors for personalized one-on-one tutoring sessions. Tafawwaq (referred to herein as "Tafawwaq,” “the Platform," "we," "us," or "our") is operated by Karajeh group FZE, a company duly organized and existing under the laws of the United Arab Emirates.
These Terms and Conditions ("Terms") govern your access to and use of the Tafawwaq website, including any content, functionality, and services offered on or through www.tafawwaq.com (the "Website"), whether as a guest or a registered user. By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines referenced herein. If you do not agree to these Terms, you must not access or use the Website.
This document constitutes a legally binding agreement between you and Tafawwaq. We reserve the right to modify these Terms at any time, effective upon posting of an updated version on the Website. Your continued use of the Website after any such changes constitutes your acceptance of the new Terms. It is your responsibility to regularly review these Terms to stay informed of updates. We will endeavor to provide notice of significant changes, but it remains your obligation to review them periodically.
By agreeing to these Terms, you represent and warrant that you are at least eighteen (18) years of age and are legally capable of entering into a binding contract. If you are accessing or using the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" herein refer to that entity.
Our mission is to foster a secure, interactive, and effective learning environment. These Terms are designed to protect both our users and the integrity of the Platform, ensuring a fair and transparent experience for all participants. We encourage you to read these Terms carefully, as they contain important information regarding your legal rights, remedies, and obligations.
2. Definitions
For the purpose of these Terms and Conditions, the following definitions shall apply:
- Account: Refers to the user account created by a Student or Tutor on the Platform to access and utilize the Services.
- Content: Refers to all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials, whether publicly posted or privately transmitted, uploaded, or made available on the Platform by users or Tafawwaq.
- Curriculum: Refers to the specific educational programs or subjects supported by the Platform, including but not limited to IGCSE, IB, SAT, and various languages.
- Intellectual Property Rights: Refers to all forms of intellectual property rights, including patents, copyrights, trademarks, service marks, trade secrets, moral rights, and other proprietary rights recognized in any jurisdiction.
- Live Tutoring Session or Session: Refers to a personalized one-on-one tutoring interaction conducted in real-time through the Platform's integrated online environment, including video conferencing and virtual whiteboards.
- Platform: Refers collectively to the Tafawwaq website (www.tafawwaq.com), its subdomains, and any associated applications, services, and tools provided by Tafawwaq.
- Privacy Policy: Refers to the Tafawwaq Privacy Policy, which describes how we collect, use, and disclose your personal information, and which is incorporated by reference into these Terms.
- Services: Refers to all functionalities, features, and offerings provided by Tafawwaq through the Platform, including but not limited to tutor matching, session booking, payment processing, communication tools, and session recording.
- Student: Refers to any individual who registers an Account on the Platform with the intent to receive tutoring services from a Tutor.
- Tutor: Refers to any individual who registers an Account on the Platform with the intent to provide tutoring services to Students.
- User or You: Refers to any individual or entity accessing or using the Platform, including Students, Tutors, and visitors.
- Website: Refers specifically to www.tafawwaq.com and its associated web pages.
3. Eligibility and User Accounts
3.1 Eligibility
To access and use the Services offered by Tafawwaq, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract in your jurisdiction. By creating an Account and using the Platform, you represent and warrant that you meet these eligibility requirements. If you are under the age of 18, you may only use the Platform with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms.
3.2 Account Registration
To utilize the full range of Services, you must register for an Account. During the registration process, you will be required to provide certain information, including but not limited to your name, email address, and a password. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Tafawwaq reserves the right to suspend or terminate your Account if any information provided during registration or thereafter proves to be inaccurate, not current, or incomplete.
3.3 Account Types
The Platform supports two primary types of user accounts:
- Student Account: For individuals seeking tutoring services.
- Tutor Account: For individuals offering tutoring services. Tutors may be subject to additional verification processes, background checks, and qualification assessments as determined by Tafawwaq in its sole discretion. Completion of these processes does not guarantee approval as a Tutor on the Platform.
3.4 Account Security
You are solely responsible for maintaining the confidentiality of your Account login credentials (username and password) and for all activities that occur under your Account. You agree to notify Tafawwaq immediately of any unauthorized use of your Account or any other breach of security. Tafawwaq will not be liable for any loss or damage arising from your failure to comply with this security obligation. You must not share your Account with any other person.
3.5 Account Verification
Tafawwaq may, at its discretion, implement various verification procedures, including but not limited to email verification, phone number verification, identity verification, and background checks for Tutors. You agree to cooperate with any such verification requests and understand that your access to certain features or the Platform itself may be restricted until verification is successfully completed. Tafawwaq makes no representations or warranties regarding the accuracy or reliability of such verification processes or the verified status of any User.
4. Services Offered (Tutoring Marketplace)
Tafawwaq operates as an online marketplace designed to facilitate connections between Students seeking academic assistance and Tutors offering specialized instruction across various Curriculums. Our Services are primarily focused on providing the technological infrastructure for these connections, rather than directly providing tutoring services.
4.1 Marketplace Functionality
The Platform enables Users to:
- Browse Tutor Profiles: Students can search for Tutors based on criteria such as subject, curriculum (e.g., IGCSE, IB, SAT, languages), availability, ratings, reviews, and hourly rates.
- Create Tutor Profiles: Tutors can create detailed profiles showcasing their qualifications, experience, teaching methodology, availability, and pricing.
- Book Live Tutoring Sessions: Students can book one-on-one Sessions with their chosen Tutors through a flexible scheduling system integrated into the Platform.
- Conduct Live Tutoring Sessions: Sessions are conducted within a fully integrated online environment featuring video conferencing capabilities and interactive virtual whiteboards to facilitate real-time learning.
- Manage Schedules: Both Students and Tutors can manage their respective availabilities and appointments directly on the Platform.
- Process Payments: The Platform integrates secure payment gateways to facilitate payments from Students to Tutors for completed Sessions.
- Access Session Recordings: All Sessions may be recorded and made available for review by the Student for revision purposes.
- Receive Notifications: Users receive updates and reminders regarding bookings, payments, and other important activities via the Platform, email and, where applicable, WhatsApp messaging.
4.2 Nature of Services
Tafawwaq acts solely as an intermediary platform. We do not employ Tutors, nor are we responsible for the quality, legality, or appropriateness of the tutoring services provided by Tutors. Tutors are independent contractors and are solely responsible for the services they provide. Students are solely responsible for selecting the appropriate Tutor for their needs. Any agreement for tutoring services is directly between the Student and the Tutor.
4.3 No Endorsement
Tafawwaq does not endorse any specific Tutor or Student. While we may provide tools for Users to evaluate each other (such as ratings and reviews), we do not guarantee the accuracy, completeness, or reliability of any User-generated content or information. Users are encouraged to exercise their own judgment and due diligence when interacting with other Users on the Platform.
4.4 Service Availability
Tafawwaq will use commercially reasonable efforts to ensure the continuous availability of the Platform and its Services. However, we do not guarantee uninterrupted or error-free operation. The Platform may be unavailable from time to time due to maintenance, upgrades, network issues, or other unforeseen circumstances. Tafawwaq will not be liable for any losses or damages incurred by Users due to such unavailability.
5. User Responsibilities (Students and Tutors)
All Users of the Tafawwaq Platform, whether Students or Tutors, are expected to adhere to a high standard of conduct and fulfill specific responsibilities to ensure a safe, respectful, and effective learning environment. Your use of the Platform is contingent upon your compliance with these responsibilities.
5.1 General User Responsibilities
- Compliance with Laws: You agree to comply with all applicable local, national, and international laws, statutes, ordinances, and regulations regarding your use of the Platform and any services obtained or provided through it.
- Accurate Information: You are responsible for providing accurate, truthful, and complete information during registration and throughout your use of the Platform. Misrepresentation of identity, qualifications, or any other material information is strictly prohibited.
- Respectful Conduct: You agree to interact with other Users (Students, Tutors, and Tafawwaq staff) in a respectful, professional, and courteous manner. Harassment, abuse, discrimination, hate speech, or any form of inappropriate behavior is strictly forbidden.
- Prohibited Activities: You agree not to engage in any activities that:
- Violate any law or regulation.
- Infringe upon the rights of others, including intellectual property, privacy, or publicity rights.
- Are fraudulent, deceptive, or misleading.
- Are defamatory, obscene, pornographic, or otherwise offensive.
- Involve the transmission of viruses, malware, or any other harmful code.
- Attempt to gain unauthorized access to the Platform, other Users' accounts, or computer systems or networks connected to the Platform.
- Interfere with or disrupt the integrity or performance of the Platform or the data contained therein.
- Circumvent any security measures or access controls of the Platform.
- Solicit personal information from anyone under the age of 18.
- Promote or facilitate illegal activities.
- Communication: All communications related to tutoring sessions, scheduling, and payments must be conducted exclusively through the Platform's designated communication channels. Sharing personal contact information (e.g., phone numbers, email addresses, social media handles) for the purpose of circumventing the Platform is strictly prohibited.
- Reporting Violations: You agree to report any violations of these Terms or any suspicious or inappropriate behavior by other Users to Tafawwaq immediately.
5.2 Student Responsibilities
- Payment: Students are responsible for timely payment of all fees for booked and completed Sessions as per the pricing agreed upon with the Tutor and processed through the Platform's payment system.
- Attendance: Students are responsible for attending scheduled Sessions on time. Failure to attend or late cancellation may result in charges as outlined in the Cancellation and Refund Policy which can be found at https://www.tafawwaq.com/cancellation.
- Preparation: Students are encouraged to come prepared for Sessions, with clear objectives and any necessary materials.
- Feedback: Students are encouraged to provide honest and constructive feedback and ratings for Tutors after Sessions.
5.3 Tutor Responsibilities
- Qualifications and Accuracy: Tutors represent and warrant that all information provided in their profile, including qualifications, experience, and educational background, is accurate, truthful, and verifiable. Tutors must possess the necessary expertise and credentials to teach the subjects they offer.
- Professional Conduct: Tutors must maintain a high level of professionalism, punctuality, and ethical conduct during all interactions with Students and Tafawwaq. This includes being prepared for Sessions, delivering high-quality instruction, and adhering to agreed-upon schedules.
- Attendance: Tutors are responsible for attending scheduled Sessions on time. Failure to attend or late cancellation may result in penalties as outlined in Tafawwaq's policies.
- Content Delivery: Tutors are solely responsible for the content and quality of their instruction. They must ensure that their teaching methods are appropriate, effective, and tailored to the Student's needs.
- Confidentiality: Tutors must respect the privacy and confidentiality of Student information and not disclose any personal or academic details outside the Platform.
- No Circumvention: Tutors agree not to solicit or accept payments directly from Students outside the Platform or to engage in any activities designed to circumvent Tafawwaq's fee structure.
- Background Checks: Tutors agree to undergo and pass any background checks or verification processes required by Tafawwaq, and to provide any necessary documentation promptly.
- Tax Obligations: Tutors acknowledge and agree that they are independent contractors and are solely responsible for all applicable taxes, including income tax, self-employment tax, and any other taxes or contributions related to the income earned through the Platform. Tafawwaq will not withhold any taxes from payments to Tutors, nor will it be responsible for any tax liabilities of Tutors.
6. Payment, Fees, and Billing
Tafawwaq facilitates secure payment transactions between Students and Tutors. By using the Platform, you agree to Tafawwaq's payment terms and policies.
6.1 Pricing and Payment
- Tutor Rates: Tutors set their own hourly rates for tutoring services. These rates are displayed on their profiles and are subject to change at the Tutor's discretion. Any changes to a Tutor's rate will apply to Sessions booked after the rate change.
- Student Payments: Students agree to pay for all Sessions booked and completed through the Platform. Payments are processed securely via integrated payment gateways (e.g., Stripe, PayPal, etc., as applicable). By providing payment information, you represent and warrant that you are authorized to use the designated payment method and authorize Tafawwaq or its third-party payment processor to charge your payment method for all fees and charges incurred in connection with your Account.
- Platform Fees: Tafawwaq charges a service fee to Tutors for facilitating connections and providing the Platform infrastructure. This fee is a percentage of the Tutor's earnings from Sessions conducted through the Platform and will be deducted automatically from the payment before it is disbursed to the Tutor. The exact percentage of this fee will be communicated to Tutors upon registration or through their Tutor dashboard and may be subject to change with prior notice.
- Currency: All prices and payments on the Platform are denominated in AED unless otherwise explicitly stated.
6.2 Billing and Invoicing
- Session Completion: Payments for Sessions are typically processed upon the successful completion of a Session. In cases of dispute, Tafawwaq's dispute resolution policy will apply.
- Invoices: Tafawwaq may provide Students with invoices or receipts for payments made. Tutors will have access to records of their earnings and deductions through their dashboard.
6.3 Cancellations and Refunds
Cancellation and Refund Policy: Tafawwaq maintains a Cancellation and Refund Policy to protect both Students and Tutors. Specific cancellation and refund terms (e.g., required notice period, penalties for late cancellation or no-shows) will be clearly outlined on the Platform and apply to all bookings. Students may be charged for Sessions cancelled without sufficient notice. Full details of the Cancellation and Refund Policy can be found at: https://www.tafawwaq.com/cancellation.
6.4 Payment Disputes
If a Student disputes a charge, Tafawwaq will investigate the matter. If it is determined that the charge was valid, the Student will be responsible for the charge and any associated fees. If the charge is deemed invalid, a refund will be issued in accordance with our Cancellation and Refund Policy which can be found at https://www.tafawwaq.com/cancellation. Users agree to resolve payment disputes directly with Tafawwaq and not to initiate chargebacks with their financial institutions without first attempting to resolve the issue through the Platform's designated channels. Initiating an unjustified chargeback may lead to Account suspension or termination.
7. Session Recording and Intellectual Property
7.1 Session Recording
Tafawwaq provides the functionality to record Live Tutoring Sessions. By participating in a Session, both Students and Tutors acknowledge and agree to the following:
- Consent to Recording: All Sessions conducted through the Platform may be recorded for quality assurance, dispute resolution, and for the Student's personal review and revision purposes. By engaging in a Session, you explicitly consent to such recording.
- Ownership of Recordings: Tafawwaq retains ownership of the Session recordings. However, Tafawwaq grants the Student who participated in the Session a non-exclusive, non-transferable, revocable license to access and use the recording solely for their personal educational and revision purposes. This license does not permit the Student to share, distribute, publicly display, or otherwise exploit the recording for commercial or non-commercial purposes without the express written consent of Tafawwaq and all participants.
- Use by Tafawwaq: Tafawwaq may use Session recordings for internal purposes, including but not limited to improving our Services, training, quality control, and resolving disputes. Tafawwaq will handle all recordings in accordance with its Privacy Policy.
- No Expectation of Privacy: While Tafawwaq takes reasonable measures to secure recordings, Users should have no expectation of privacy regarding the content of Sessions, as they are subject to recording and review as outlined herein.
7.2 Intellectual Property Rights
7.2.1 Tafawwaq's Intellectual Property
All Intellectual Property Rights in and to the Platform, including its design, text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation of all Content on the Platform, are the exclusive property of Tafawwaq or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Your use of the Platform does not grant you any right, title, or interest in or to Tafawwaq's Intellectual Property Rights, except for the limited license granted herein.
7.2.2 User-Generated Content
- Ownership: Users retain ownership of any Intellectual Property Rights they hold in the Content they create, upload, or transmit on or through the Platform, including but not limited to educational materials, notes, and discussions during Sessions.
- License to Tafawwaq: By submitting, posting, or displaying Content on or through the Platform, you grant Tafawwaq a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform that Content in connection with the operation of the Platform and Tafawwaq's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Platform (and derivative works thereof) in any media formats and through any media channels. This license is granted for the purpose of enabling Tafawwaq to provide, improve, and promote the Services.
- License to Other Users: By participating in a Session or sharing Content on the Platform, you grant other Users a limited, non-exclusive license to access and use your Content as permitted by the functionality of the Platform and these Terms, solely for their personal educational purposes. This does not include the right to reproduce, distribute, or publicly display such Content outside the Platform without explicit permission.
7.2.3 Prohibited Use of Intellectual Property
You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform, use of the Services, or access to the Services without express written permission from Tafawwaq. You must not use any Content from the Platform for any commercial purpose without obtaining a license to do so from us or our licensors. Unauthorized use of Tafawwaq's Intellectual Property or any User-generated Content may result in legal action.
8. Content and Conduct Rules
Tafawwaq is committed to maintaining a positive, safe, and productive environment for all Users. Your use of the Platform and any Content you create, upload, or transmit must comply with the following rules and guidelines.
8.1 Prohibited Content
You agree not to post, upload, transmit, or otherwise make available on the Platform any Content that:
- Is Illegal or Promotes Illegal Activities: Content that violates any applicable local, national, or international law or regulation, or promotes or facilitates illegal activities such as drug use, violence, or fraud.
- Is Harmful, Threatening, or Abusive: Content that is libelous, defamatory, obscene, pornographic, sexually explicit, indecent, vulgar, harassing, threatening, abusive, hateful, or otherwise objectionable.
- Infringes Intellectual Property: Content that infringes upon the Intellectual Property Rights, privacy rights, publicity rights, or any other proprietary rights of any third party.
- Contains Personal Information of Others: Content that discloses the personal or confidential information of others without their express consent.
- Is Misleading or Fraudulent: Content that is false, inaccurate, misleading, or deceptive, including impersonation of any person or entity.
- Contains Viruses or Malicious Code: Content that contains software viruses, worms, Trojan horses, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
- Is Commercial Spam: Unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation.
- Promotes Discrimination: Content that promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
8.2 Conduct Rules
In addition to the general responsibilities outlined in Section 5, Users must adhere to the following conduct rules:
- No Circumvention of Platform: Do not attempt to circumvent the Platform's intended functionality, including but not limited to, attempting to conduct tutoring sessions or payments outside of the Platform.
- No Data Mining or Scraping: Do not use any automated system, including without limitation "robots," "spiders," "offline readers," etc., to access the Platform in a manner that sends more request messages to the Tafawwaq servers than a human can reasonably produce in the same period by using a conventional web browser.
- No Interference: Do not interfere with or disrupt the integrity or performance of the Platform or the data contained therein.
- No Unauthorized Access: Do not attempt to gain unauthorized access to the Platform, other User accounts, or computer systems or networks connected to the Platform through hacking, password mining, or any other means.
- No Impersonation: Do not impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- No Solicitation of Minors: Do not solicit personal information from anyone under the age of 18.
- No Cheating or Academic Dishonesty: The Platform is for legitimate tutoring and learning. Do not use the Platform to facilitate cheating, plagiarism, or any other form of academic dishonesty.
8.3 Monitoring and Enforcement
Tafawwaq reserves the right, but has no obligation, to monitor Content and conduct on the Platform. We may, in our sole discretion, remove or disable access to any Content that violates these Terms, or suspend or terminate the Account of any User who violates these Terms, without prior notice. Tafawwaq may also take any legal action it deems appropriate, including reporting to law enforcement authorities, for any illegal or unauthorized use of the Platform. You understand that Tafawwaq may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms; (c) respond to claims that any Content violates the rights of third parties; or (d) protect the rights, property, or personal safety of Tafawwaq, its Users, or the public.
9. Privacy and Data Protection
Your privacy is of paramount importance to Tafawwaq. This section outlines our commitment to data protection and refers to our comprehensive Privacy Policy, which governs the collection, use, and disclosure of your personal information. 9.1 Data Collection and Use
By using the Platform, you acknowledge and agree that Tafawwaq will collect, use, and store your personal information in accordance with our Privacy Policy. This includes, but is not limited to, information you provide during registration, payment details, communication data, session metadata, and usage data. We collect this information to:
- Provide, maintain, and improve our Services.
- Process transactions and send related information, including confirmations and invoices.
- Communicate with you about products, services, offers, promotions, and events offered by Tafawwaq and others, and provide news and information we think will be of interest to you.
- Monitor and analyze trends, usage, and activities in connection with our Services.
- Detect, investigate, and prevent fraudulent transactions and other illegal activities and protect the rights and property of Tafawwaq and others.
- Personalize and improve the Services and provide advertisements, content, or features that match user profiles or interests.
9.2 Consent to Data Processing
By accessing or using the Platform, you explicitly consent to the collection, use, and processing of your personal data as described in these Terms and our Privacy Policy. If you do not agree with our data practices, you must discontinue use of the Platform.
9.3 Data Security
Tafawwaq implements reasonable administrative, technical, and physical safeguards designed to protect the personal information we collect from unauthorized access, use, or disclosure. However, no method of transmission over the Internet, or method of electronic storage, is 100% secure. Therefore, while we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security.

Tafawwaq utilizes various third-party services for its operations. These third-party service providers may have access to your personal information as necessary to perform their functions, but they are obligated not to disclose or use it for any other purpose. Your use of the Platform signifies your consent to the sharing of your data with these third parties as required for the provision of Services.
9.5 International Data Transfers
Your information, including personal data, may be transferred to — and maintained on — computers located outside of your state, province, country, or other governmental jurisdiction where the data protection laws may differ from those of your jurisdiction. Please note that your data, including personal information, may be transferred to and processed in any country where Tafawwaq operates or maintains service providers. THE PLATFORM AND ALL SERVICES, CONTENT, FUNCTIONS, AND MATERIALS MADE AVAILABLE TO YOU THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TAFAWWAQ DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TAFAWWAQ DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICES OR CONTENT ON THE PLATFORM IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU ASSUME ALL RISK FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE USE OF THE PLATFORM, INCLUDING ANY DAMAGES RESULTING FROM COMPUTER VIRUSES.
TAFAWWAQ IS A MARKETPLACE AND DOES NOT DIRECTLY PROVIDE TUTORING SERVICES. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, SUITABILITY, OR RELIABILITY OF ANY TUTORING SERVICES PROVIDED BY TUTORS THROUGH THE PLATFORM. ANY AGREEMENT FOR TUTORING SERVICES IS SOLELY BETWEEN THE STUDENT AND THE TUTOR. TAFAWWAQ EXPRESSLY DISCLAIMS ALL LIABILITY FOR THE ACTS, OMISSIONS, AND CONDUCT OF ANY THIRD PARTIES, INCLUDING USERS, ADVERTISERS, AND/OR SPONSORS ON THE PLATFORM.
10.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TAFAWWAQ, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF TAFAWWAQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH:
- YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM OR ANY SERVICES;
- THE CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES;
- ANY CONTENT OBTAINED FROM THE PLATFORM;
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL TAFAWWAQ’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO TAFAWWAQ FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, TAFAWWAQ’S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to defend, indemnify, and hold harmless Tafawwaq, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms or your use of the Platform, including, but not limited to, your Content, any use of the Platform's Services, and products other than as expressly authorized in these Terms.
- Your negligence or willful misconduct.
- Your violation of any rights of another party, including without limitation any Intellectual Property Rights or privacy rights.
- Your interactions with any other User, including any disputes that may arise between you and another User.
Tafawwaq reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Tafawwaq in asserting any available defenses.
12. Termination of Account
12.1 Termination by You
You may terminate your Account at any time by following the instructions on the Platform or by contacting Tafawwaq customer support by email at support@tafawwaq.com. Upon termination, your access to the Services will cease, and any outstanding obligations (e.g., payments due) must be settled.
12.2 Termination by Tafawwaq
Tafawwaq may, in its sole discretion, suspend or terminate your Account and/or your access to all or any part of the Platform and Services at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include, but are not limited to:
- Breach of these Terms or any other policies or guidelines referenced herein.
- Violation of any applicable law or regulation.
- Engagement in fraudulent, abusive, or illegal activities.
- Non-payment of fees.
- Requests by law enforcement or other government agencies.
- Discontinuation or material modification of the Services (or any part thereof).
- Unexpected technical or security issues or problems.
- Extended periods of inactivity.
12.3 Effect of Termination
Upon termination of your Account, your right to use the Platform and Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Tafawwaq will not be liable to you or any third party for any termination of your access to the Platform or Services.
13. Dispute Resolution and Governing Law
13.1 Governing Law
These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles. This choice of law provision is intended to be interpreted broadly and to encompass all matters arising out of or relating to these Terms and the Platform.
13.2 Informal Dispute Resolution
Before initiating any formal legal proceedings, you agree to first contact Tafawwaq to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Platform or Services (collectively, "Disputes") informally. You can contact us at support@tafawwaq.com. We will use good faith efforts to resolve the Dispute directly with you.
13.3 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.
Any Dispute that cannot be resolved informally within thirty (30) days of initial contact shall be resolved by binding arbitration administered by Sharjah International Commercial Arbitration Centre in accordance with its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes then in effect, except as modified herein. The arbitration will be conducted by a single, neutral arbitrator. The arbitration shall take place in Sharjah, or at another mutually agreed location.
- Waiver of Jury Trial: YOU AND TAFAWWAQ HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. Instead, all Disputes will be resolved by arbitration.
- Waiver of Class or Consolidated Actions: ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER.
- Arbitration Fees: The allocation of arbitration fees and costs shall be determined by the applicable arbitration rules. Each party will be responsible for their own attorneys' fees unless otherwise provided by applicable law or the arbitrator's award.
- Arbitrator's Authority: The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, including but not limited to any claim that all or any part of this Arbitration Agreement is void or voidable.
- Exceptions to Arbitration: Notwithstanding the foregoing, nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to: (a) bring an individual action in small claims court; (b) pursue an enforcement action through the applicable federal, state, or local agency if that action is available; (c) seek injunctive relief in a court of law in aid of arbitration; or (d) to file suit in a court of law to address an intellectual property infringement claim.
13.4 Judicial Forum for Disputes
In the event that the arbitration agreement is found to be unenforceable or if a Dispute is not subject to arbitration, you and Tafawwaq agree that any judicial proceeding (other than small claims actions) will be brought in the federal or state courts located in Sharjah. Both you and Tafawwaq consent to the personal jurisdiction and venue in the federal and state courts in Sharjah and waive any objection as to inconvenient forum.
14. Changes to Terms
Tafawwaq reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 7 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the Website and the Services.
15. Miscellaneous Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by Tafawwaq on the Platform, constitute the entire agreement between you and Tafawwaq concerning the Services and supersede all prior agreements, proposals, and communications, whether written or oral, between you and Tafawwaq regarding the subject matter hereof.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the invalidity or unenforceability of such provision shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.
15.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Tafawwaq’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Tafawwaq’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Tafawwaq may assign or transfer these Terms, at its sole discretion, without restriction.
15.5 Force Majeure
Tafawwaq shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor, or materials.
